Terms of Service

This Software License and Acceptable Use Agreement (“Agreement”) is entered into by Softoria LLC, operating as Interproxy (“Interproxy”), and the individual or entity using Interproxy services (hereinafter referred to as “Customer” or “you”).
Please read this Agreement carefully. By accessing or using any component of the Interproxy infrastructure, you acknowledge that you have read, understood, and agreed to be bound by these terms. If you are entering into this Agreement on behalf of an organization, you represent that you have the legal authority to bind that entity to these terms.


1. Nature of the SaaS Service & Purpose


Interproxy develops, owns, and operates a cloud-based Software-as-a-Service (SaaS) network infrastructure (the “System”) designed to enable data redirection and technical routing through our network points of presence worldwide.
The Customer explicitly warrants and agrees that the System shall be utilized exclusively for legitimate, ethical, and commercial purposes related to its business operations (the “Purpose”). Authorized use-cases include, but are not limited to:
Data aggregation and large-scale web scraping.
Search Engine Optimization (SEO) monitoring and analysis.
Market research, pricing intelligence, and trend analysis.
Academic research and network performance testing.


2. Mandatory Know-Your-Customer (KYC) Verification


To ensure full compliance with international anti-fraud regulations, financial standards, and banking policies, Interproxy employs a strict and mandatory Know-Your-Customer (KYC) verification system.
Customers must complete a compliance onboarding process and provide accurate, truthful, and complete business details.
Interproxy reserves the absolute right to manually verify, approve, or deny service access to any applicant or existing account at its sole discretion, without providing a reason, if the provided operational use-case appears ambiguous or high-risk.


3. Strictly Prohibited Activities


The Customer covenants and agrees that the network infrastructure will NOT be used intentionally or unintentionally in violation of any federal, state, local, or international laws, including the laws of the United States and the European Union. The following activities are strictly prohibited and will result in immediate account termination without any refund:
Any form of network activities designed to facilitate online fraud, credit card fraud, identity theft, phishing, or unauthorized impersonation.
The creation, distribution, or execution of malicious software, including viruses, malware, trojan horses, worms, or spyware.
Conducting or facilitating infrastructure attacks, including Denial-of-Service (DoS) and Distributed Denial-of-Service (DDoS) attacks against third-party servers.
The generation of artificial internet traffic, click fraud, or the dissemination of unsolicited bulk electronic messages (Spam).
Accessing target destination websites in a manner that intentionally disrupts their normal operations or violates their legal rights.


4. Reselling and Intellectual Property


Unless expressly confirmed and authorized by Interproxy in writing, the Customer is strictly prohibited from reselling, sublicensing, decompiling, reverse-engineering, or creating derivative works of the provided infrastructure or any assigned network parameters. All intellectual property rights, system architecture, and proprietary features remain the exclusive property of Softoria LLC.


5. Billing, Payment & Refund Policy


Interproxy partners with authorized international payment resellers and Merchant of Record (MoR) networks to process subscriptions. All transactions are subject to the strict compliance and security verifications of our financial processing partners.
Subscription fees are listed in USD and are exclusive of applicable taxes or duties.
Refund Policy: Customers are entitled to request a full refund within 14 days of the initial purchase date, provided that the bandwidth or data allocation used does not exceed 100MB, and the service has not been utilized for any prohibited activities. After this 14-day period or upon exceeding the usage threshold, all fees paid are strictly non-refundable.
If a payment method is flagged as fraudulent, or if a charge is declined by our payment networks, Interproxy reserves the right to downgrade, suspend, or cancel the account immediately.


6. Inspection and Disclosure of Information


Interproxy maintains the right (but not the obligation) to monitor the utilization of the System to ensure technical stability, prevent system abuse, and calculate precise data billing. In full compliance with international legal frameworks, Interproxy will cooperate with law enforcement and judicial authorities by sharing relevant customer data if a valid subpoena, court order, or official fraud complaint arises.


7. Indemnification & Limitation of Liability


The Customer agrees to release, defend, indemnify, and hold harmless Softoria LLC, its affiliates, and agents from any third-party claims, legal demands, liabilities, regulatory fines, or expenses (including reasonable attorney fees) arising from the Customer’s non-compliant or unlawful use of the network infrastructure.
Interproxy provides its System on an “as is” and “as available” basis, disclaiming all warranties of any kind. To the fullest extent permitted by law, Interproxy’s aggregate liability for any operational incident or claim shall be strictly limited to a maximum of one hundred and fifty US dollars ($150).


8. Governing Law and Jurisdiction


This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. The parties hereby submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA, for any dispute arising out of this Agreement.
